A. Project management
- Technical due diligence for land and building acquisitions
- Develop master plans, budgets and feasibility studies
- Organize and manage relationships with all public authorities connected with administration, construction and urban planning
- Recommend professional consultants, contractors, specialists and service providers, including the negotiation of their engagement such as terms and conditions
- Coordinate and supervise the designing phase of a project including planning, design and construction. Organize and manage relationships with related third party service providers (architects, town planners, engineers, constructors)
- Order and supervise the preparation of any studies, designs or documentation necessary for obtaining any permit or approval, for the development and operations of the project
- Organize tenders for the construction works and suppliers
- Assist the owners, in order to select the best offers in each stage of the construction
- Assist the beneficiary in front of any entity, either public or private, in obtaining all the authorizations required for the project
- Manage the contractors to ensure the works are performed within the agreed deadlines, in full compliance with the relevant agreements, applicable laws and quality standards
- Once the works are completed, organize the handover to ensure their proper and full remediation
- Monitor all the changes made to the project and promptly inform the beneficiary in writing regarding the additional costs or delays incurred
- Ensure the proper completion of the technical book for the project construction
- Monitor the building during the guarantee period
B. Asset and facility management
- Manage all licenses, insurance and permits related to projects under their administration towards compliance and renewal when required
- Manage contracts with utilities and service providers
- Manage the payment of all taxes for the assets
- Facility management of the finalized projects
- Control and observe all maintenance operations performed by the company regarding facilities and installations
- Control and monitor any repairs during the guarantee period
- Periodical inspections to the company’ premises
- Monitor the additional fit-out works required by tenants
C. Activities to increase the market value of the asset portfolio
- Increasing the value of the land by obtaining zoning approvals enabling a larger built surface
- Increasing the value of the land by obtaining building permits
- Increasing the value of the land or buildings by performing and attaching due diligences and technical reports
- Increasing the value of the buildings by updating the land book
- Increasing the value of the buildings through refurbishment works
Legal Services
A. Services related to day-to-day legal assistance of the beneficiary
- Legal assistance in dealing with customers, tenants, banks or any other business partners, any central or local authorities, Romanian Trade Registry, Land Book and any other public registries
- We provide professional, accurate and client-oriented sworn translations and interpretation services. Certified translations for different authorities (legalization to the Notary)
B. Services related to assets portfolio administration
- Analyze ownership documents and draft due diligence reports
- Identify the proper acquisition structure from various prospective (legal, fiscal, technical)
- Handle the process of acquisition including, without limitation, carrying on all negotiations with the owners and financing bank(s), if the case, preparing all necessary documentation, performing all related formalities for the acquisition and land book registration
- Manage the sale-purchase agreements and enable the beneficiary by necessary instructions and notices to perform the obligations and exercise its rights thereunder
- Assist and provide legal support in the negotiations with the tenants/purchasers of a project
- Ensure that there is full and proper co-ordination between advisors and monitor the advisors in the performance of their relevant obligations and duties and where appropriate report to the beneficiary
C. Services related to the project management
- Render legal assistance in all the activities of the beneficiary related to the project and stand before the court on behalf of the beneficiary, in the event litigation cases related to the project occur during its phases
- Assist the beneficiary in obtaining the relevant authorizations/permits for the project and in negotiating and concluding the relevant agreements for all the phases of a project: development, commercialization and project success
- Manage the construction agreements entered into in relation to the project and enable the beneficiary by necessary instructions and notices to perform the obligations and exercise its rights there under
- Assist the beneficiary against the contractors who are in breach of their obligations under their respective contract
D. Services related to debts recovery, loans restructuring, insolvency and bankruptcy procedures
Considering the change of the economic realities over the past few years and facing its challenges, we have significantly developed our bankruptcy/liquidation and insolvency practice. Our team is comprised of lawyers and legal counselors with extensive expertise in debt recovery, enforcements, bankruptcy and liquidation matters. In order to sustain this development, we have created a solid relationship with insolvency practitioners.
- Assist and represent in insolvency proceedings
- Give assistance in relation to debt recovery and appraisal of the best strategy to follow in case of threatened bankruptcy
- Advice and support on the enforcement/insolvency/liquidation options, in comparison with the restructuring options
- Perform in-depth evaluation of clients’ options for the recovery of receivables, as well as perform assessment of legal feasibility for reorganization plans
- Ensure the creditor’s debt collection following the liquidation of the debtor’s assets

Financial and Accounting Services
A. Financial Services
- Perform, supervise and coordinate the entire groups financial activity
- Aggregates financial data in relevant reports for the management such as: financial planning, cash flow, corporate transactions and income received, Asset Valuation, tax calculations for realized and unrealized capital gains, budget execution, financial status of the company, indebtedness, financial status of ongoing projects
- Provide relevant proposals for improving financial parameters, tax advice, and effective methods for meeting the strategic objectives
- According to the tax position of the beneficiaries, we will optimize the maximum return
- Working in conjunction with the technical department to develop budgets and cash flows of projects
- Taking all measures necessary to obtain financing for the project development, including without limitation preparing all necessary documentation for the Investors, negotiating with the financing bank(s) and maintaining relationships and all communications
- Closely monitor the execution of the project budget and timing. Notify the beneficiary in due time and in writing any potential project delays
- Evaluate the eligibility and creditworthiness of the contractors and any other persons and organizations proposed
B. Accounting Services
- Run accounting operations of the companies on a day-to-day basis
- Provide relevant reports/information to the finance department
- Manage and report cash inflows and outflows and reconcile all cash movements
- Draft and submit periodic statements, balance sheets to the fiscal authorities
- Represent the companies during the fiscal inspections carried out by the tax authorities
- Collaborate with the team of auditors for drawing up annual reports
- Actively cooperate with legal department by drawing documentation/reports prior to declaring any potential insolvency
- Provide information and actively cooperate with legal and financial departments and with judicial administrator/liquidator during the insolvency process
- Follow through company’s customers and providers in order to solve financial matters whenever they occur (in relation to invoicing, payments, receipts)
- Maintain contact with the staff of the bank where the company’s accounts are opened
Commercial and Marketing Services
A. Commercial sales and leasing
- Responsible for sales, leasing and marketing across the portfolio
- Oversee portfolio asset management and administration activity
- Work with the clients to assess their goals, and then implement strategies to achieve their objectives
- Identify and propose plots of land necessary for the development of the project
- Identify suitable tenants/purchasers for the project and carry on negotiations for the conclusion of lease agreements/sale purchase agreements under the assistance of the legal team
- Close relationships with major retail anchor tenants such as Auchan, Cora, Carrefour, Mega Image, Penny, Lidl, H&M, Zara, Spryder, New Yorker, Deichman, C&A, Brico Store, Dedeman, Decathlon, Kiabi, Mc’Donalds, Noratuto, Flanco, Domo, Media Galaxy in the projects developed by the company
- Also office tenants such as Vodafone, Unicredit, Raiffeissen, BCR, IBM, and Orange
- Manage the lease contracts and coordinate the relations with the tenants including rent collection, re-invoicing services and fees in accordance with the lease, lease renewal/renegotiation, and resolutions to any potential tenants complaints
B. Marketing Services
- Elaborate and implement marketing strategies including communication plans, promotional material, target clients/tenants and target pricing for each asset
- Create studies regarding market demand to determine the real estate development trends
- Advise the beneficiary in regarding marketing action plans
- Prepare, coordinate and implement an appropriate presentation of each project
- Review marketing studies and forecasts
- Understanding customer behavior and advertising the products value to the target customer
- Create sales center and teams when necessary
IT&C services
A. Corporate resources access and support
- Provide secured access to the local network and company resources, based on specific profiles and access lists assigned to each user
- Administer the company Data Base and supply customized reports over our web-based ERP (Enterprise Resource Planning), that permit better control of our internal processes (Financial, Accounting, Operational, Human Resources)
- Maintain a highly secure perimeter for the entire company infrastructure
- Provide support for day-to-day company activities
- Assist Technical Department on developing projects related to IT&C infrastructure of the building
B. Interconnection Services
- Assure internet access to each company location and connect these through hard or soft VPN (Virtual Private Network)
- Administer the corporate e-mail infrastructure, supporting multiple domain names
